Terms of service

These terms form an agreement between you and GHMX TECHNOLOGY INC (“GHMX”, “we”, “us”). By creating an account, placing an order or using our services, you accept them. If you are agreeing on behalf of a company, you confirm you have authority to do so.

1. Services

GHMX provides media buying and traffic distribution services across formats including push notification, popunder, pre-roll video, native, in-page push, messaging placements and direct click. Specific formats, GEOs, sources and volumes are agreed per campaign in writing or in your order brief.

2. Accounts

You must provide accurate business information and keep it current. You are responsible for activity under your credentials and for keeping your password secure. Accounts are for the registered business and may not be resold or shared without our consent.

3. Deposits and billing

• Campaigns are prepaid. The minimum first deposit is USD 500 unless agreed otherwise.
• Deposits are credited in USD. Bonus credit, where offered, is promotional, non-refundable and may carry the conditions stated at purchase.
• Unused balance remains on the account and does not expire. Cash refunds are reviewed case by case, net of bonuses, payment costs and third-party charges, and are not available while campaigns are active.
• Invoices and receipts are issued in USD. You are responsible for any taxes applicable to your purchase other than taxes on our income.

4. Campaigns and delivery

We will make reasonable efforts to deliver the volumes and results discussed, but traffic availability, auction dynamics and publisher inventory fluctuate. Unless a written insertion order states otherwise, we do not guarantee a specific number of impressions, clicks or conversions.

5. Creative and landing pages

You are responsible for the accuracy and legality of your creatives, landing pages and offers. You grant us a licence to host, display and distribute approved creative for the duration of the campaign. We may pause or reject creative that misrepresents the offer, infringes rights or breaches our advertising policy.

6. Prohibited activity

You may not use the services to promote unlawful products or services, to mislead users, to distribute malware, or to collect data without a lawful basis. Fraud, incentivised clicks without disclosure, cloaking, automatic redirects without review and attempts to manipulate reporting are grounds for immediate suspension.

7. Tracking and reporting

Campaign reporting is provided in your account dashboard and, where agreed, through our API or export. Postback integrations must be tested before launch. Our platform records are the reference for delivered volume; material discrepancies should be raised within 14 days.

8. Publisher terms

Publishers must own or be authorised to monetise the traffic they submit. Traffic must be human, compliant with our advertising policy and free of botnets, forced installs or deceptive redirects. Payouts are made monthly in USD after validation, subject to the threshold and schedule confirmed during onboarding. Invalid traffic is not paid and may result in termination.

9. Intellectual property

Our name, logo, platform, documentation and site content are owned by us or our licensors. You may not copy, resell or create derivative works from them without written permission. You keep ownership of your own creative and data.

10. Confidentiality

Each party will protect the other’s non-public business information and use it only to perform this agreement. This obligation survives termination.

11. Limitation of liability

To the maximum extent permitted by law, GHMX is not liable for indirect, incidental, special or consequential damages, including lost profits or lost data. Our total liability arising from the services is limited to the amount you paid us for the campaign giving rise to the claim in the three months before it arose.

12. Termination

Either party may pause or terminate a campaign with the notice stated in the order. We may suspend an account immediately for breach of these terms, suspected fraud or legal risk. Sections that by their nature should survive — including payment, confidentiality and liability — survive termination.

13. Governing law

These terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law rules. The state and federal courts located in Colorado have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.

14. Changes

We may update these terms from time to time. The date at the top shows the latest revision. Continuing to use the services after an update means you accept the revised terms.
